Unless otherwise indicated, the following warranty disclaimer applies to all features available on the software: THE SOFTWARE AND RELATED FEATURES ARE PROVIDED BY THE LICENSEE 'AS IS' AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE EXCLUDED. SOFTWARE a) The basis for creating custom solutions and studies should be written performance specifications that are provided by you or prepared by BalanSolver, based on the documentation and information you provide. Inspection of performance specifications for accuracy and completeness is within your responsibility and should be initiated by you as a sign of your consent. Modification requests after mutual consent for a particular specification has been met may result in separate time and price agreements. b) For a solution purchased / developed through BalanSolver that requires changes, whether due to the software or any other cause, the suitability of the solution may or may not have a business impact, at the sole discretion of BalanSolver. c) If you require further training and explanations, they will be charged separately. 4. PRICES, TAXES AND RATES a) For standard library or programs, valid prices are the list prices in force on the day of delivery. All other services (organizational consulting, programming, training, transition support, telephone consulting services) will be charged at the rates prevailing on the day the services are performed. b) Travel, per diem and overnight accommodation costs shall be billed separately to you at their respective valid rates. Transit time should be considered as working time. 5. RESPONSIBILITY To the fullest extent permitted by applicable law, in no event shall BalanSolver or its suppliers be liable for any special, incidental, indirect or consequential damages (including, without limitation, damages for loss of business profit, business interruption, loss of business information, or any other pecuniary loss) arising out of use, or inability to use its services, even if BalanSolver has been advised of the possibility of such damages. In any event, the full liability of BalanSolver under any provision of these Terms and Conditions will be limited to US$ 5.00. 6. Licensor is authorized to indicate the existence of business relationship with Licensee on all advertising media, including its website(s) using Licensee's name and logo, subject to an optional written withdrawal by Licensee. 8. DIVISIBILITY If individual terms of these Terms and Conditions are or become inoperative, this will not affect the other terms of this agreement. BalanSolver and you will work in partnership to find an arrangement that approximates dead terms as closely as possible. 9. OBSOLESCENCE The loss of assets or licenses due to total or partial obsolescence of the user's platform (hardware, software, or operating system) is the user's responsibility.
