SEA Ds Lab. (hereinafter referred to as 'SDL') grants you the right to use the software'ExG PNG Viwer' provided and installed by downloading or other means (hereinafter referred to as 'the Software') under the following terms and conditions. This License Agreement is a general license agreement that is effective for the first use of the Software. 1. COPYRIGHT All intellectual property rights, including copyrights, related to the Software belong to SDL or are duly licensed by a third party, and the Software is protected by copyright laws and related treaties in the country of use and in other countries. 2. GRANT OF RIGHTS SDL grants you a license to use the Software by installing it on one computer terminal controlled by you for your use during the term of this Agreement (hereinafter referred to as 'License'). The Software is licensed for use by JQA by installing the Software on one computer terminal controlled by JQA for use by JQA. The right to use the Software under this License shall be non-exclusive, non-sublicensable, and non-transferable. The media on which the Software is recorded, provided by the LICENSEE to the SUPPLIER under this License, shall be loaned by the LICENSEE to the SUPPLIER, and the ownership of such media shall be reserved to the LICENSEE. 3. RESTRICTIONS You may not modify, reverse engineer, decompile or disassemble the SOFTWARE in any way. You may copy and redistribute the SOFTWARE within the same organization or to specific users (such as your client companies), but you may not redistribute it to an unspecified number of people without the permission of SDL. You must obtain permission from SDL or link to SDL's site to download the Software from SDL's site. 4. LIMITED WARRANTY This software is provided 'as is' without warranty of any kind, and SDL makes no warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. any problems that may arise with the software shall be resolved at your own risk and expense. The functions of this software and services associated with this software are subject to change or discontinuation without prior permission of the customer. The Software does not guarantee the same environment for use as the Software at the time this Agreement is executed in perpetuity. 5. LIMITATION OF LIABILITY SDL shall not be liable for any consequential, incidental, or punitive damages under this Agreement or under any other circumstances. you indemnify, defend and hold SDL harmless from and against any damages, losses or liabilities related to claims made by third parties against you in connection with your use of the software. SDL shall not be liable for damages for defects in the Software. 6. TERM OF CONTRACT This Agreement shall become effective on the date you download the Software or install the Software on your hardware, and shall continue in effect until you uninstall the Software or the Software is no longer available to you. 7. EXPORT CONTROL You agree not to ship, transfer, or export the Software or any information or technology contained in the Software to any country where shipment is prohibited or restricted by the country in which the Software is used or any other relevant country. 8. OTHERS This Agreement shall be governed by the laws of the country of use.
