IMPORTANT NOTICE: This Software End User License Agreement (“Agreement”) is a legal agreement between the user of this application (“You”) and the Financial Institution providing the application to you (“FI”). You and FI are each a Party to this Agreement. If You do not agree with the terms of this Agreement, You are not permitted to download or use this licensed application in any manner. By downloading, installing, or using this licensed application (“Application”), You accept and agree to be legally bound by the terms of this Agreement. Your use of the Application is also subject to Microsoft’s Standard Application License Terms (where FI or a licensor to the FI is the “application publisher”) except as any such term may conflict with the terms of this Agreement. You acknowledge your rights to the Application are limited by the Agreement and applicable law. Any use, reproduction or redistribution of the Application not in accordance with the terms of this Agreement is prohibited and may result in civil and criminal penalties to the maximum extent of the law. In consideration of FI and its licensors providing You access to and/or use of this Application, the sufficiency of which consideration is hereby agreed to by You and FI, You agree as follows: “Licensed Software” means (i) the Application; (ii) related online documentation (“Documentation”); and (iii) all upgrades, versions, additions, and copies of the Licensed Software provided to You (“Updates”). LICENSE. As long as You comply with this Agreement, FI and its licensors grant You a non-exclusive, non-transferable license to use one copy of the Licensed Software for Your personal use on a device you control, as permitted by the Usage Rules in the Microsoft Store Terms of Service. The Licensed Software is licensed, not sold, to you and all rights not expressly granted herein are reserved. You acknowledge that unauthorized use of the Licensed Software may cause irreparable damage to FI and its licensors and that, in the event of a breach of this Agreement, FI and/or its licensors will be entitled to injunctive relief, monetary damages and attorneys’ fees and costs in enforcing the Agreement. You will not disclose, allow access to, or provide any portion of the Licensed Software to any person or entity and will notify FI of any unauthorized use. RESTRICTIONS. You will not, and You will not allow any other party, to, (i) use the Licensed Software with other equipment or for any purpose other than acquiring and transmitting photographs of checks to your FI according to operating instructions from FI; (ii) decompile, reverse engineer, disassemble, translate or reduce the Licensed Software to a human-perceivable form; (iii) modify, adapt, translate, or create derivative works from the Licensed Software; (iv) lease, sublicense, share, distribute, or disclose the Licensed Software to any third party; (v) use the Licensed Software in a client-server environment, transmit the Licensed Software from one computer to another or over a network or otherwise allow a third party to remotely access or use the Licensed Software; (vi) transfer any of your rights in the Licensed Software; (vii) use the Licensed Software for a harmful purpose or in violation of any law; (viii) make copies of any part of the Licensed Software; (ix) remove or alter any trademark, copyright, or other notice in the Licensed Software; or (x) circumvent any mechanism that controls access to the Licensed Software. DISCLAIMER. THE LICENSED SOFTWARE IS LICENSED TO YOU “AS IS.” FI AND ITS LICENSORS DO NOT REPRESENT OR WARRANT, AND EXPRESSLY DISCLAIM ANY REPRESENTATION OR WARRANTY, THAT: OPERATION OF THE LICENSED SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE; FUNCTIONS OR FEATURES OF THE LICENSED SOFTWARE WILL MEET YOUR REQUIREMENTS; OR THE LICENSED SOFTWARE WILL OPERATE IN HARDWARE AND SOFTWARE COMBINATIONS SELECTED BY YOU. YOU ASSUME ALL RESPONSIBILITY FOR THE LICENSED SOFTWARE TO ACHIEVE YOUR INTENDED RESULTS AND FOR YOUR USE OF AND RESULTS OBTAINED FROM SUCH USE. FI AND ITS LICENSORS EXPRESSLY DISCLAIM, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING REPRESENTATIONS OR WARRANTIES OF NON-INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS, OWNERSHIP, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND DATA ACCURACY. NO WARRANTY WILL BE CREATED, ENLARGED, OR AFFECTED BY, AND NO OBLIGATION OR LIABILITY WILL ARISE OUT OF, THE RENDERING OF ADVICE OR SERVICE BY FI OR ITS LICENSORS IN CONNECTION WITH THE LICENSED SOFTWARE. THE ABOVE EXCLUSION AND LIMITATIONS MAY NOT APPLY TO YOU IF YOU RESIDE IN A JURISDICTION THAT DOES NOT ALLOW SUCH LIMITATIONS ON STATUTORY RIGHTS OF A CONSUMER. LIMITATION OF LIABILITY. TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL FI OR ITS LICENSORS BE LIABLE FOR PERSONAL INJURY OR INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS OR DATA, BUSINESS INTERRUPTION OR OTHER COMMERCIAL DAMAGES OR LOSSES RELATED TO YOUR USE OF OR INABILITY TO USE THE LICENSED SOFTWARE, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF FI OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF LIABILITY FOR PERSONAL INJURY OR OF INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THIS LIMITATION MAY NOT APPLY TO YOU. In no event shall the total liability of FI and its licensors to You for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the amount of $50, even if the above stated remedy fails of its essential purpose. INDEMNIFICATION BY YOU. To the greatest extent allowed by law, You agree to indemnify, defend and hold FI, its licensors, and their respective partners, affiliates, contractors, directors, employees and agents harmless from all damages, losses and expenses arising from Your acts or omissions to act in using the Licensed Software except to the extent caused by FI’s or its licensors’ gross negligence. INFRINGEMENT REMEDIES. Should the Licensed Software become, or in FI's opinion be likely to become, the subject of a claim of infringement, FI will have the option to procure for You the right to continue using the Licensed Software; replace or modify the Licensed Software with a non-infringing, substantially equivalent version; or terminate this Agreement and your use of the Licensed Software. FI and its licensors will have no liability to You hereunder for any claim or other liability based upon (i) the combination of the Licensed Software with other products not provided by FI; (ii) use of other than a current, unaltered version, or any derivative works, modification or improvement, of the Licensed Software provided to you by FI; (iii) use of the Licensed Software in a process not specified by FI. This Section of this Agreement is the sole and entire liability of FI and its licensors and the sole and entire remedy for any claim of intellectual property infringement by the Licensed Software. TERMINATION. If You breach a provision of this Agreement, FI may, in addition to any other remedies it may have, terminate any license granted hereunder effective immediately without liability after written notice to You. You will then promptly cease all use, and delete and/or uninstall all copies in your possession, of the Licensed Software, and certify at the request of FI that such actions have been taken. ASSIGNMENT. You may not sublicense or assign this Agreement or any right granted herein. GOVERNMENT LICENSEE. The Licensed Software was developed at private expense. It is “Restricted Computer Software” and “Commercial Computer Software” for which the U.S. Government may acquire only “restricted rights” as defined at 48 CRD §52.227-14. This Agreement will not become effective with respect to the United States Government without FI's prior written approval. NO EXPORT. You will not export or re-export the Licensed Software, or any part thereof, in violation of the laws of the United States or without first obtaining required permission to do so from applicable governmental agencies. LICENSORS AS THIRD PARTY BENEFICIARIES. You recognize and agree that FI’s licensors of the software provided to you in connection with this Agreement are third party beneficiaries to the Agreement, and shall have the right to enforce it directly to the extent they may deem necessary or advisable to protect their rights or the rights of sublicensors hereunder. MISCELLANEOUS. This Agreement is governed by the laws of Massachusetts, USA without regard to any conflict of law provisions. The state or federal courts located in Boston, Massachusetts will have exclusive jurisdiction over all matters pertaining to this Agreement, and You agree to submit to the personal and exclusive jurisdiction of said courts to resolve any dispute or claim under this Agreement. If any term of this Agreement is found invalid or unenforceable, then such part will be ineffective to the extent of such invalidity without affecting this Agreement's remaining provisions. Rights and obligations that by their nature are intended to survive the termination of this Agreement will survive. The failure of FI or a licensor to enforce a provision of this Agreement will not be a present or future waiver of such provision, nor will it affect the ability of FI or licensor to enforce any provisions of this Agreement. Except as herein stated, the Agreement is the entire agreement between the Parties with respect to its subject matter and supersedes all prior oral and written agreements between the Parties with respect thereto, and may only be amended in writing by FI with notice provided to You. The law known as United Nations Convention on the International Sale of Goods is excluded from application to this Agreement.
