This HitPaw User License Agreement (hereinafter referred as "Agreement") and the User Terms of Service and Privacy Policy as referenced herein are a legally binding agreement between you, the end user, and HITPAW CO.,LIMITED (hereinafter referred as "we" or " the Company") regarding your use of our software program (hereinafter referred as "the Software") and the related services that may result therefrom. This agreement shall co-exist with and not supersede the User Terms of Service and the Privacy Policy. You are responsible for ensuring that you are at least eighteen (18) years of age and have full capacity and capability to contract this Agreement and, if you do not meet the above conditions, you should ensure that your consent to this Agreement is confirmed by your parent or other guardian on your behalf. Before installing the Software, please read this Agreement carefully in its entirety, in particular its disclaimers (such terms usually contain words such as "no liability", "no obligation", "no warranty") and terms limiting your rights (such terms usually contain words such as "shall not", " should not", "no right", etc.), the legal application and dispute resolution clauses, which shall be applied to the maximum extent permitted by the laws of the People's Republic of China and are marked in bold type in this Agreement. By downloading, installing or using our software, You acknowledge that you have read and agree to be bound by this Agreement, the User Terms of Service and Privacy Policy posted on our website (please see Terms & Condition and Privacy Policy for details), and the foregoing contract. By using this software, you agree to be bound by this agreement. We (as licensor) grant the licensee a non-exclusive right to download and/or install the included software program on a certain number of computers/devices and you may use the software in accordance with the terms contained in this licence, based on the licence number you have purchased. Type of licence: (1) Personal licence If you have acquired the software under a personal licence, it is for your own use only and subject to the general terms set out above. (2) Unliminted licence One copy can be installed on more than one device. If you are an unlimited licence holder, you can install the software on more than one device. 2. Intellectual Property Rights The Software Product (including any copies of it, any materials, etc.) is protected by the Copyright Law of the People's Republic of China, other intellectual property laws and regulations and relevant international regulations and laws. All intellectual property rights in the Software Product are owned by HITPAW CO.,LIMITED, and the "intellectual property rights" referred herein are all existing and any future copyrights, trademarks, trade secrets, patents and any other legally recognized intellectual property right. This term shall remain in force after the termination of this Agreement. 3. Usage Acknowledgement and Restrictions (1) You agree and acknowledge that you may receive software updates notifications, upgrade notifications or any commercial electronic messages during your use of the Software. (2) You acknowledge that the Software is licensed to you and not sold to you. (3) You acknowledge that this Agreement does not confer upon you any right to obtain a redistributed or replacement version of the Software at any time, and that we are under no obligation to provide updates, upgrades or extensions to the Software or to operate or continue to support the Software indefinitely. (4) You may not remove or alter any trademarks, logos, copyright or other proprietary notices, illustrations, symbols and marks on the Software. Any copy of the Software made by you must contain the original copyright and other proprietary notices. (5) You must not disclose any results of the Software benchmarking tests to third parties without the written permission of our Company. (6) You may not rent, sell, lease, re-license or sub-license the Software. (7) You may not modify or transfer the Software on an arbitrary basis. If you transfer or assign the Product to any third party for profit or otherwise, you must first obtain our written permission. (8) You may not alter or change the Software, decompile, disassemble or reverse engineering the Software, or attempt to obtain its source code, create derivative works or install programs based on it. (9) You may not bundle this software product with other products. 4. Accompaniment CD Permission is granted to copy and distribute our software on various COVER CDs issued by the magazine concerned (trial version only). However, a copy of the magazine with the CD needs to be sent to us. 5. Collection and use of data 1. You acknowledge that you have read and understood the Privacy Policy (please see Privacy Policy for details) which explains how we may collect, use and disclose data (including personal data) relating to you. 2. You also acknowledge and agree that personal data we collect from you or submitted by you may be transferred to and stored on servers located in destinations outside your country of residence. The servers and equipment on which your data is stored and processed may be owned and operated by third parties, and we may contract with such third parties for the receipt, storage and processing of your personal information, and you should be aware that the data protection laws of other countries may differ from the data protection laws of your country of residence. 6. Limited Warranty, Limitation of Liability (1) We do not warrant that the software is error free. (2) Our ultimate liability for any damages under this agreement is limited to the amount actually paid by the licensee to HITPAW CO.,LIMITED. (3) Except as otherwise provided, we provide the software product, corresponding services and licensed materials, including any end-user documentation, software, maintenance upgrades, documentation and other materials, as is, and we make no warranty, express or implied, as to merchantability or fitness for a particular purpose. (4) In no event shall we be liable for special, incidental, consequential, punitive, exemplary or other indirect damages, as well as third party claims or loss or damage to any system, hardware or software, records or data, arising out of or in connection with the use or performance of the Software and Licensed Materials. If we provide software products and licensed materials that are alleged to infringe, or that we believe may infringe, we may, where practicable, replace the software products and licensed materials with non-infringing materials, or we may, in our reasonable discretion, cancel our activities under the agreement. (5) If you misuse the Software or breach this Agreement, or if any contribution, act or omission on your part in connection with your use of the Software results in any liability, damages, losses, costs and expenses (including, but not limited to, attorneys' fees and court costs) to us, you agree to reimburse us or other participants in the Software for all such liability, damages, losses, costs and expenses. If a third party sues in connection with any of the aforementioned, you agree to be liable for all, including, but not limited to, reasonable attorneys' fees that can be documented. This disclaimer forms an essential part of this agreement. Some jurisdictions do not allow the imposition of limitations of liability or the exclusion of liability. Accordingly, the above sections may not apply to you. 7. Terms and termination This licence remains in force until terminated. If you do not comply with any of the restrictions, conditions or obligations described herein, the licence will automatically terminate. Upon termination, you must destruct all copies of our software and all other materials in our original distribution package. 8. Severability If it is determined that any provision of this Agreement is invalid or unenforceable, this shall not affect the validity of the other provisions and the remainder of this Agreement shall continue in force. 9. Law application and jurisdiction (1) The laws of the mainland of the People's Republic of China (excluding conflict of laws) shall apply to the inception, entry into force, performance, interpretation and dispute resolution of this Agreement. (2) This Agreement is entered into at Baoan District, Shenzhen, People's Republic of China. (3) If any dispute or controversy arises between you and us, it shall first be settled by friendly negotiation; in the event that negotiation fails, you agree to submit the dispute or controversy to the jurisdiction of the competent people's court in the place where this agreement is entered into (i.e. Bao'an District, Shenzhen). 10.Addition The Company reserves the right to amend and update the content of the Agreement in accordance with updates to relevant laws and regulations or the needs of product operation. You can check the latest version of the terms and conditions of the Agreement on the relevant service page. Your continued use of the Software or Services after any change in the terms of this Agreement shall be deemed to constitute your acceptance of the changed Agreement. You again hereby acknowledge that you have read and understood all of the terms and conditions of this Agreement and agree that by clicking "Agree", installing or otherwise, you agree to be bound by all of the terms and conditions of this Agreement.
