1. Introduction This License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Pronounce, Inc. ("Company," "we," "us," or "our"), the creator and owner of the Pronounce desktop application ("App"). By installing, copying, or otherwise using the App, you agree to be bound by the terms of this Agreement, the Terms of Service, and the Privacy Policy. 2. Acceptance of Terms of Service and Privacy Policy By installing and using the App, you agree to comply with and be bound by our Terms of Service and Privacy Policy, which are hereby incorporated by reference. You can review the current version of the Terms of Service and the Privacy Policy at any time at: • Terms of Service: https://www.getpronounce.com/terms-of-service • Privacy Policy: https://www.getpronounce.com/privacy It is your responsibility to periodically review these documents to stay informed of updates. Your continued use of the App signifies your acceptance of any updates to the Terms of Service and Privacy Policy. 3. License Grant Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable license to install and use the App on a single device solely for your personal, non-commercial use. 4. Restrictions You may not: a. Copy, modify, or distribute the App, except as expressly permitted in this Agreement. b. Reverse engineer, decompile, or disassemble the App. c. Rent, lease, lend, sell, or sublicense the App to another person or entity. d. Use the App for any illegal, unlawful, or unauthorized purpose. 5. Intellectual Property The App and its original content, features, and functionality are owned by the Company and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. 6. Termination We may terminate your access to and use of the App, at our sole discretion, at any time and without notice to you. Upon termination, all rights granted to you under this Agreement will cease, and you must cease all use of the App and delete all copies of the App from your device. 7. Limitation of Liability In no event shall the Company be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, revenue, data, or data use, arising out of or related to your use of the App, even if we have been advised of the possibility of such damages. 8. Governing Law This Agreement shall be governed by the laws of the State of Texas, without regard to its conflict of laws principles. 9. Changes to this Agreement We may update this Agreement from time to time, in our sole discretion. We will notify you of any changes by posting the new Agreement on our website or through the App. Your continued use of the App after any such update constitutes your acceptance of the new Agreement. By clicking "I Agree" during the installation process, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement, the Terms of Service, and the Privacy Policy.
