GENERAL LICENSING CONDITIONS FOR THE USE OF THE SOFTWARE I. GENERAL PROVISIONS 1. These General Licensing Conditions (hereinafter also as: “General Terms and Conditions” or “GTC”) shall govern the use of the programming software offered for sale by Licensor (hereinafter referred to as “Licensor”): “Software”.) 2. The Software is offered for sale by SALUMANUS sp. z o.o., Kraków (30-633), ul. Walerego Sławka 8A, registered in the register of entrepreneurs under KRS number: 0000354228, NIP: 6793033367, REGON: 121206305 (hereinafter: “Salumanus” or “Licensor”). 3. The Software is a copyrighted computer program for operating a programmer offered by Licensor for sale collectively under the trade name “SRD - Smart Recode Device” (hereinafter also referred to as: “Product” or “Licensor Product”). 4. Licensor offers its Software for sale to customers who are entrepreneurs within the meaning of Article 43[1] of the Civil Code (“Entrepreneur”). 5. All rights to the Software belong to the Licensor and may only be used in accordance with these General Terms and Conditions. II. DEFINITIONS The expressions contained in these GTC shall have the following meanings: Licensee – an Entrepreneur who has purchased the Software as part of a Licensor Product, has accepted these GTC and is using the Software in accordance with them; Update – subsequent versions of the Software containing any corrections, feature extensions and modifications, available to the Licensee without additional payment; Ongoing technical support – adjusting the Software on an ongoing basis to the applicable legal regulations, removing defects and malfunctions of the Software, removing failures of the Software or Updates; Copyright – Act of 4 February 1994 on Copyright and Related Rights (Journal of Laws No. 24, item 83 as amended); Civil Code – the Act of 23 April 1964 (Journal of Laws No. 16, item 93 as amended); Working days – days from Monday to Friday excl. public holidays. III. LICENCE RULES 1. The Licensee is obliged to comply with the provisions of these GTC from the moment of acceptance. 2. The GTC set forth the general rules for the use of the Software, including the rights and obligations of the Licensee and Licensor. The subject matter of this GTC in particular is: 1) The granting of a licence to the Licensee by the Licensor (hereinafter referred to as: “License”) to the Software under the terms and conditions set forth herein; 2) Provide Licensee with ongoing technical support for the Software and Updates for the duration of the License. 3. Licensor grants to the Licensee a paid, non-exclusive, non-transferable and non-transferable Licence to the Software under the terms of these GTC. 4. The Software made available to the Licensee is free from legal and physical defects. 5. The licensee is not entitled to sublicence (grant further licences). 6. Licensor declares that it is the entity authorised to grant licences and deliver the above-mentioned Software and that the use of the Software in accordance with these GTC does not infringe any intellectual property rights of any third party. 7. Licensor may also inform Licensees of other technical or hardware requirements necessary to use the Software prior to the purchase of the Licensor Product, directly on the website of Licensor. 8. The Licence covers the version of the Software in effect at the time of purchase of the Product from Licensor and Updates to the Software together with ongoing technical support to the extent indicated in the description of the Software on Licensor’s website (service) or otherwise provided by Licensor from the date of purchase of the Product. 9. The Licensor shall provide technical support to the Licensees by means of electronic correspondence. For Ongoing Support queries, Licensees may send their questions to the email address: serwis.dmo@salumanus.com on Business Days, between 8am and 4pm. 10. Subject to the further provisions of these GTC, Licensor licenses the Software to Licensee exclusively in the following fields of use: 1.i.1.a. To install and use the Software, 1.i.1.b. Entering the device’s memory; 1.i.1.c. The temporary reproduction in the memory of the device necessary for the use of the Software and collectively the Product as instructed by the Licensor; 1.i.1.d. The adaptation of the Software necessary to use the Software (hardware and software configuration). 11. The Software, as well as Updates thereto, may contain Open Source elements, third party licensed software and publicly available libraries. The licensee is obliged to respect the licensing rules specified by the owners of this type of software. 12. By accepting these GTC, you acknowledge that you are familiar with the functions of the Software. 13. Upon expiry of the License, the Licensee shall remove the Software and all copies thereof. 14. The use of the Software is not permitted to a greater extent than that described above; in particular, the Licensee may not make or attempt to make: 1.i.1.a. decompile, decrypt, disassemble, reverse engineer or reconstruct or discover the source code of the Software, 1.i.1.b. analysing the transmission with the server; 1.i.1.c. circumvent or show how to circumvent the technical security features of the Software; 1.i.1.d. to study and test the functioning of the Software in order to learn its idea and principles of functioning; 1.i.1.e. independently modify the Software by programming; 1.i.1.f. to publish the Software; 1.i.1.g. make the Software available to third parties other than for publication, including renting, leasing, lending or transferring, in particular for the purpose of copying the Software; 1.i.1.h. to use the Software contrary to the terms of these GTC or as a result of any actions prohibited by the applicable law. 15. Except where expressly permitted by Licensor, you shall not extend the functionality of the Software by adding modules or components not supplied by Licensor. 16. Licensor shall not permit the Software to be used by the Licensee for the purpose of carrying out activities that would infringe the interest of Licensor, violate generally applicable laws or good morals. 17. Licensor does not agree to use the Software with products other than those offered by Licensor. 18. Violation of the terms of the licence by the User entitles the Service Provider to terminate the Licence with immediate effect, without the need for a prior request to stop the violations. 19. The Licensee hereby declares that he/she is aware that the unauthorised use of the Software and individual elements of its content will give rise to civil and criminal liability. IV. RIGHTS AND OBLIGATIONS OF THE PARTIES 1. The Licensee shall not violate good manners, rules of social coexistence and shall comply with applicable law, in particular shall observe copyright and intellectual property rights. 2. The Licensee shall not use the Software in any manner contrary to its nature and purpose. 3. To the extent permitted by law, the Licensor shall not be liable for any direct or indirect consequences in connection with the use of the Software, including any damage (including actual loss and lost profits) arising out of the use of or inability to use the Software, and in particular for any damage resulting from defects in the Software made available hereunder. 4. With regard to the Software transferred, Licensor’s liability under the warranty for defects shall be excluded. 5. The Licensor is not responsible, in particular, for: a. disturbances in the Software caused by Licensee’s improper use of the Software b. technical problems caused by the Licensee’s failure to meet the technical requirements for using the Software, as well as other technical problems arising for reasons beyond the Service Provider’s control c. non-culpable effects caused by the lack of security against access of third parties or by the provision of access to the Software to third parties d. interruptions in access to the Software due to the necessity of removing any failures, testing the Software or the necessity of maintenance e. damages incurred by the Licensee due to incorrect recording or reading of data. 6. Within the scope of the Licence granted, the Licensee shall keep confidential all information obtained in connection with the Licence granted and in particular: a. not to be used for their own purposes or for third parties, b. not to be disclosed to third parties other than those authorised to receive them by the other Party. 7. The confidentiality obligation shall not apply if the Licensee is obliged to disclose certain confidential information pursuant to mandatory provisions of law, judicial decision or administrative decision. V. FINAL PROVISIONS 1. The Licensor can be contacted in matters relating to the Licence defined in these GTC: 1.i.1.a. e-mail: dmo.serwis@salumanus.com; 2. In matters not regulated in the GTC, the provisions of the Civil Code and the Copyright Law shall apply. 3. Unless otherwise stipulated, the governing law for all disputes arising under these GTC shall be Polish law. 4. Any disputes arising from these GTC shall be resolved before the common court with jurisdiction over the registered office of the Licensor. 5. The content of these GTC is subject to change. If the GTC are amended, Licensor shall notify Licensee by e-mail at the e-mail address Licensee provided when placing the order of the amendment to the GTC and the effective date of the amendment. If the Licensee does not accept the new content of the GTC, he/she must inform the Licensor within 3 (three) days by e-mail. In case of no Licensee reaction, the Licensee shall be deemed to have accepted the new content of the GTC in full. 6. Licensor may also submit the new content of the GTC to Licensee for approval by other means, including by displaying it within the Software. 7. Failure to accept the new content of the GTC referred to in subsections 6 and 7 above shall result in termination of the Licence.
